Stratton Black Bear Pass Holder Terms & Conditions

(the “Agreement”)

Definitions

As used in this Agreement, whether in the singular or plural:

Black Bear Pass means the exclusive pass product described in this Agreement.

Black Bear Pass Holder means the individual identified below as the primary Black Bear Pass pass holder.

Dependent means the spouse or domestic partner of the Black Bear Pass Holder and up to three (3) children, including biological, stepchildren and legally adopted children, under the age of 22 of the Black Bear Pass Holder, each of whom are identified below.

Resort means Stratton Mountain ski area.

Access Requirements & Restrictions

Black Bear Pass does not grant Resort access. Black Bear Pass Holder must have a valid eligible pass product to access the Resort and enjoy Black Bear priority lift access privileges.

Black Bear is non-transferable and for the personal use of the Black Bear Pass Holder, unless otherwise specified.

Black Bear privileges may be subject to restrictions and limitations due to Resort’s early or late season operating restrictions. Black Bear Pass Holder may not enjoy any priority lift access, optional premier parking or lounge privileges, during Resort’s early winter season or late spring season when Resort operations are limited.

Black Bear does not substitute, or satisfy, the Resort’s requirement to have a reservation to access the Resort, if applicable.

Priority Lift Access Privileges

Black Bear Pass Holder’s priority lift access privileges are limited to participating lifts at the Resort and are shared with Resort’s Speed Bear priority lift access lanes. Black Bear Pass Holder must alternate with the general lift access lanes at the merge area and remain respectful and courteous to Ski & Ride School instructors, students, and other skiers and riders.

Black Bear does not provide priority lift access to all lifts operating at the Resort. Participating lifts are at the sole discretion of Resort management and may be limited by weather, mechanical or maintenance issues, safety considerations, capacity, or any other reason.

Premier Parking Privileges

Black Bear Pass Holder has the option to purchase access to premier parking privileges for an additional charge. Black Bear Pass Holder’s premier parking privileges are limited to designated parking areas at the Stratton Base Lodge parking area. Black Bear premier parking spaces are limited and not guaranteed. Designated parking areas are determined at the sole discretion of Resort management and may be limited by weather, capacity, or any other reason. Black Bear Pass Holder must clearly display premier parking access hangtag from vehicle’s rearview mirror while parked in designated parking area. Failure to display hangtag may result in citation Vehicles parked in an unauthorized parking space, or occupying more than one parking space, may be subject to citation or loss of access to premier parking privileges. Parking hours are 7 a.m. to 6 p.m. Last vehicle entry is 1 p.m. No overnight parking is permitted. Vehicles not removed by 10 p.m. each day may be subject to fine and/or tow and impound without notice at owner’s sole expense. Resort is not liable for injury, theft, vandalism, or damage to vehicles.

Lounge Privileges

Black Bear Pass Holder and Dependents will receive complimentary access to the Resort’s exclusive members’ lounge.

Dependents under 13 years of age must be accompanied by a Black Bear Pass Holder who is 21 or older.

Black Bear lounge access does not guarantee, or substitute the requirement for, a dining or table reservation. Lounge access is subject to capacity restrictions. Any admittance of guests is not guaranteed and is at the sole discretion of the Resort. No outside food or drink permitted. Additional lounge rules and restrictions may apply. Complimentary Breakfast

Black Bear Pass Holder and Dependents will have access to enjoy a complimentary hot breakfast in the Resort’s exclusive members’ lounge on weekends and holidays during the 2025/26 ski season. See Resort for details, including operating hours.

Additional Privileges

Black Bear Pass Holder will receive the following additional Black Bear privileges:

· Twelve (12) complimentary single-day lift tickets valid for use at the Resort.

· Option to add additional Dependents or Dependents who are 22+ for a fee.

· Option to purchase an additional adult Speed Bear Pass.

· 25% discount off the Resort’s window rate for single-day lift tickets for family and friends.

· Seasonal ski storage at the Resort Gondola for two (2) adults.

· Seasonal storage locker in the Resort’s members’ lounge.

Black Bear Pass Holder and Dependents will receive the following additional Black Bear privileges:

· Preferred access to Elevation restaurant reservations at the Stratton Mountain Club on Thursday and Sunday nights (holidays excluded) with an advance two (2) week booking window.

· 15% discount on retail and food & beverage at select retail and food & beverage outlets at the Resort. Some exclusions apply. Cannot be combined with any other discount or offer. See Resort for full details.

· Up to 25% discount on lodging at select Resort lodging properties. Subject to availability. Cannot be combined with any other discount or offer. See Resort for full details.

· Complimentary concierge services.

· Exclusive access to ten (10) member-only events, including special activities, apres-ski events and more.

· Access to exclusive IKON pass holder events hosted at the Resort.

Indemnity

The undersigned Black Bear Pass Holder understands and agrees that by accepting this Agreement on behalf of a Black Bear Pass Holder other than themself, or on behalf of a Dependent, they are representing and warranting that they are legally authorized to execute this Agreement and that by doing so they agree to personally indemnify, hold harmless and defend the Resort, Alterra Mountain Company, IKON Pass, Inc., and any of their owners, operators, parents, subsidiaries, affiliates, directors, officers, members, or representatives, from and against any and all claims brought by or on behalf of Black Bear Pass Holder or Dependent(s), should they refuse to accept or carry out the terms and conditions of this Agreement.

Activation Fee & Annual Membership Dues

Black Bear Pass Holder shall pay Resort a non-refundable one-time activation fee of $10,000 (“Activation Fee”). Black Bear Pass Holder shall pay Resort annual dues, in advance, each year to renew their Black Bear Pass for the forthcoming season. Resort shall issue Black Bear Pass Holder an invoice for their annual dues which shall be due and payable by the date referenced on the invoice. Failure to remit payment of the annual dues to Resort by the payment deadline will result in the cancelation of Black Bear Pass Holder’s Black Bear Pass without notice or refund of the Activation Fee or annual dues. It is Black Bear Pass Holder’s sole responsibility to ensure that a valid physical and email address are on file with Resort.

Term & Cancellation

The term of this Agreement shall commence on November 1 and end on October 31 and shall renew for subsequent one-year terms (November 1 – October 31) for (a) each year that the Resort offers the Black Bear Pass program; and (b) each year that the Black Bear Pass Holder remains in good standing and fully pays the annual dues for the forthcoming year. This Agreement makes no guarantee, promise or expectation that the Resort will continue to offer the Black Bear Pass program for more than one-year or for a certain number of years.

Failure of Black Bear Pass Holder to remit the annual dues by the payment deadline will result in the cancelation and termination of this Agreement. If Black Bear Pass Holder and/or Dependents are in violation of this Agreement, the Additional Agreements or any Resort policy, Resort reserves the right, in its sole discretion, to terminate this Agreement without notice or refund. Black Bear Pass Holder accepts and agrees to the current version of this Agreement as a condition of their membership renewal.

General

Black Bear Pass Holder must carry and present pass media card when requested or required by Resort staff and to access Black Bear privileges.

Use of the Black Bear is subject to Black Bear Pass Holder’s acceptance and agreement to Resort policy, Terms of Sale, Privacy Policy, Web Terms of Use, Community Guidelines & Expectations, and the Release of Liability, Waiver of Claims, Warning, Assumption of Risk, Indemnity, and Consent to Medical Treatment/Transport Agreement (“Additional Agreements”). In the event of any conflict or inconsistency between this Agreement and the Additional Agreements, the Additional Agreements will prevail.

Violations of these terms and conditions or the Additional Agreements may result in immediate revocation of Black Bear without notice or refund.

All sales are final. No refunds or exchanges. Personal use only. Not eligible for deferral.

In the event any provision or clause of this Agreement is determined to be illegal, unenforceable or in conflict with applicable law, such determination or conflict will not affect the validity and enforceability of the other provisions of this Agreement and to that end the provisions of the Agreement are declared to be severable.
